How to Register a Company or Business in Malaysia with SSM

Why this matters
A first-time founder often searches for “business registration SSM” and sees EzBiz, SSM4U and MyCoID used as if they were the same form. They are not. EzBiz covers a registered business carried on as a sole proprietorship or conventional partnership. MyCoID handles incorporation of a company. The certificate or notice you receive, the liability position and the continuing filings all depend on that first choice.
Choose by asking who will own the venture, who will sign leases or loans, whether staff, stock or regulated work are involved, and how much ongoing administration the founders can handle. Portal screens can change. Prepare the required people, address, activity and approval details instead of relying on a memorised sequence of buttons.
What the law says
For an EzBiz business, the owner must be a Malaysian citizen or permanent resident and at least 18. All owners or partners must register and be verified as EzBiz users. Choose a personal name, which uses the proprietor's identity-card name, or apply for a trade name. Prepare the commencement date, principal and mailing addresses, actual business activities, branch details and every owner or partner's particulars. A conventional partnership uses a trade name.
SSM currently lists RM30 per year for a personal-name registration, RM60 per year for a trade name and RM5 per year for each branch. The official EzBiz page gives a client charter of within one working day after receipt, but that is not a promise that every name or regulated activity will be approved automatically. Registration may be taken for the permitted period, and the owner must keep particulars current and renew before the registration ceases to be valid.
For a Sdn Bhd, decide between direct incorporation—which combines name and incorporation particulars—and a separate name reservation. If a name is reserved first, SSM says the incorporation particulars must be filed within 30 days after approval. Prepare at least one eligible director ordinarily resident in Malaysia, members or shareholders, the proposed name, registered office, business activities and MSIC information, and the declarations in the Super Form. Regulated activities or corporate shareholders may require additional approval or consent documents.
A private company limited by shares may choose whether to adopt a constitution; a company limited by guarantee must have one. Once SSM approves the filing, it issues notices of approval and registration. The work is not finished: the company must appoint its first qualified secretary within 30 days and maintain a registered office in Malaysia. SSM's fee table lists RM1,000 for incorporation of a company limited by shares and RM50 for each 30-day name-reservation period.
How does this impact me?
Before opening either portal, make a one-page data sheet. Use consistent spelling for names and addresses; decide the principal business activity instead of pasting a marketing paragraph; check whether the proposed words require referral; and obtain every partner, director or shareholder's agreement to the particulars. Mismatched identity, address or ownership information creates avoidable queries.
SSM registration does not replace licences. A restaurant, clinic, childcare service, moneylender, manufacturer, contractor or premises with a signboard may need local-authority or sector approval. Tax, employer and banking steps are separate too. After approval, check the current LHDN, EPF, SOCSO and local-council requirements that actually apply to the activity and whether employees will be hired.
Compare the structures side by side. A sole proprietorship has one owner and does not separate the owner's exposure from the business; EzBiz administration is simpler. A conventional partnership adds co-owners but does not create a separate company, so written terms matter. A Sdn Bhd is a separate legal entity with shares and directors, plus secretary, registered-office and recurring filing work.
Suppose two founders plan to hire staff, hold stock and sign a long shop lease. A conventional partnership may be cheaper to register, but both founders should examine their personal exposure and written agreement. A Sdn Bhd adds administration and provides separate corporate ownership. A qualified adviser should assess guarantees, licences and tax before they choose.
Do not choose a sole proprietorship only because the portal is simpler when the owner will sign a major lease or loan, hire staff or sell products that may attract customer claims. Do not incorporate only for prestige either. Budget for the secretary, annual return, accounts and tax work before deciding.
Key lessons
A personal name and a trade name are two naming routes within business registration; neither turns the sole proprietorship into a company. Likewise, adding “Enterprise” to branding does not create limited liability. Only the entity actually registered determines the legal structure.
Keep the approval notices, paid receipt, submitted particulars and source documents together from day one. They become the baseline for opening accounts, proving ownership and filing later changes. Download purchased SSM documents within the availability period shown by the portal rather than assuming they will remain free indefinitely.
